PUBLIC OFFER AGREEMENT FOR THE PROVISION OF SERVICES


This Public Agreement (hereinafter referred to as the "Agreement") defines the procedure for providing educational Services for children using remote technologies, as well as the mutual rights, obligations, and relationships between ROBOTEX TRAINING – FZCO, registered under the laws of the United Arab Emirates, license No. 40670 issued by Dubai Integrated Economic Zones Authority (DIEZ), with its registered address at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, UAE, hereinafter referred to as the "Contractor", and any person who has accepted this public offer (the "Customer"), jointly referred to as the "Parties".

1. DEFINITIONS USED IN THIS AGREEMENT
1.1. For the purposes of this Agreement, the following terms are used in the meanings given below:
  • "Agreement" — this public offer agreement between the Customer and the Contractor for the provision of online educational services for children, concluded through the acceptance of this Offer.
  • "Offer" — this document, publicly available on the official website https://robotexonline.com/english, which contains all the essential terms of the Agreement.
  • "Acceptance" — full and unconditional payment by the Customer for the selected services, confirming the Customer’s consent to all terms of this Agreement.
  • "Customer" — an individual (parent or guardian) who has accepted this Offer.
  • "Services" — paid online educational classes for children, provided via remote technologies (e.g., Zoom), in accordance with the terms of this Agreement.

2. GENERAL PROVISIONS
2.1. This Agreement is a public contract (public offer) in accordance with the principles of UAE contract law, under which the Contractor undertakes to provide Services to an indefinite circle of persons who apply for them.
2.2. Payment for the Services by the Customer is deemed full acceptance of this Offer and constitutes a legally binding contract.
2.3. The current version of the Agreement is always available at https://robotexonline.com/english.
2.4. The Contractor may amend the Agreement unilaterally by publishing a new version on the website. The new version takes effect from the moment of publication.
2.5. By accepting this Offer, the Customer confirms that online delivery of Services fully suits their technical and practical ability to receive them.

3. SUBJECT OF THE AGREEMENT
3.1. The Contractor undertakes to provide the Customer (for their child) with live online educational classes in the field of programming and digital creativity, and the Customer undertakes to pay for the selected Services.
3.2. The direction (course) and schedule are determined in consultation with the Customer’s personal manager.
3.3. The training is conducted in real time (live) through distance learning platforms (Zoom or analogs) in small groups (from 2 to 5 students).

4. RIGHTS AND OBLIGATIONS OF THE CONTRACTOR
4.1. The Contractor undertakes:
4.1.1. To provide complete information about the course, requirements, and class schedule prior to commencement.
4.1.2. To ensure that lessons are conducted by qualified teachers in accordance with quality standards.
4.1.3. To promptly inform the Customer of any circumstances affecting the provision or quality of Services.
4.1.4. To maintain the confidentiality of all information received from the Customer, except when disclosure is required by law or necessary for service delivery.
4.2. The Contractor has the right to:
4.2.1. Set or modify class days and duration within reasonable educational limits.
4.2.2. Substitute one teacher for another if necessary.
4.2.3. Suspend or terminate the provision of Services in case of non-payment for more than three calendar days.
4.2.4. Engage third-party service providers (e.g., payment processors, communication platforms) to fulfill its obligations.

5. RIGHTS AND OBLIGATIONS OF THE CUSTOMER
5.1. The Customer undertakes to:
5.1.1. Ensure the child’s attendance and provide necessary technical equipment for classes.
5.1.2. Pay for Services as set out in Article 6.
5.1.3. Ensure the child complies with classroom discipline and safety requirements.
5.1.4. Notify the Contractor of any changes to contact information.
5.1.5. Not distribute, copy, or use materials provided by the Contractor for commercial or non-commercial purposes without written permission.
5.2. The Customer has the right to:
5.2.1. Choose courses suitable for the child’s age and schedule.
5.2.2. Terminate the Agreement by notifying the Contractor in writing.

6. PRICE AND PAYMENT PROCEDURE
6.1. Each paid Service includes a block of 4 online lessons according to the agreed schedule.
6.2. The cost of a block depends on the course selected:
  • Scratch, Roblox, Minecraft (1 hour) — USD 102 per block;
  • Python (1 hour 15 minutes) — USD 125 per block.
6.3. Payments are accepted in USD via Stripe and Paddle (Stripe, Paddle, etc.). All services are delivered live online and are considered exported educational services under UAE law. No VAT is charged.
6.4. Payment is made for the full block in advance.
6.5. Prices remain unchanged during the block period.
6.6. Missed classes with prior notice (minimum 3 hours) can be rescheduled. Unnotified absences are not compensated and are considered completed.
6.7. The Contractor may suspend Services for delayed or incomplete payment.

7. TERM OF THE AGREEMENT
7.1. The Agreement becomes effective upon receipt of payment by the Contractor and remains in force until both Parties fulfill their obligations.

8. LIABILITY
8.1. The Parties are liable in accordance with UAE laws and Dubai Free Zone regulations.
8.2. The Customer may terminate the Agreement at any time by notifying the Contractor at least 3 days before the next block.
8.3. In case of cancellation before the first lesson, the paid amount will be refunded within 5 business days.
8.4. The Contractor is not liable for technical issues, software failures, or discrepancies between the Services and the Customer’s expectations.
8.5. The Contractor’s maximum liability is limited to the amount paid by the Customer for the Services that caused the claim.
8.6. The Parties are released from liability for non-performance caused by force majeure (acts of government, fire, flood, war, natural disasters, or Internet disruptions).

9. OTHER CONDITIONS
9.1. The Customer agrees to receive informational messages via WhatsApp, email, or social media regarding updates and promotions.
9.2. By accepting this Agreement, the Customer consents to the processing of personal data (parent’s name, contact information, child’s name and age, photo/video materials from classes) in accordance with UAE Data Protection Principles and solely for the purpose of executing this Agreement.
9.3. All issues not regulated by this Agreement are governed by the laws of the United Arab Emirates.
9.4. Lack of written claims within 5 days after completion of the Services constitutes full acceptance of the Services as properly rendered.

10. INTELLECTUAL PROPERTY
10.1. All materials provided during the educational process are the intellectual property of the Contractor.
10.2. Copying, recording, or distributing lessons and materials without written consent is strictly prohibited and will be treated as a copyright violation under UAE law.
